Overview

These Terms of Service govern your use of Bridgehead Advisory's website and advisory services. By booking a consultation or engaging our services, you agree to these terms.

Services Provided

Bridgehead Advisory provides strategic advisory services to AI companies targeting federal, state, and local government sales. Our services include:

• Federal Sales Strategy: Procurement vehicle selection, stakeholder mapping, agency-specific positioning, and deal architecture
• AI Go-to-Market Advisory: Positioning, messaging, and sales methodology tailored to government buyers
• Enterprise Deal Architecture: Hands-on coaching for seven- and eight-figure government opportunities
• Revenue Operations: Pipeline architecture, outreach systems, and sales process design for government sales teams

Engagement Structure

Initial Strategy Call: The first 30-minute consultation is complimentary and used to assess fit, discuss your company's government readiness, and determine if a formal engagement makes sense.

Retainer Engagements: Ongoing advisory work is structured as monthly retainers with defined scope, deliverables, and success metrics. Retainer terms, pricing, and scope are formalized in a separate Statement of Work (SOW) or Master Services Agreement (MSA).

Project-Based Work: For specific, time-bound initiatives (RFP response support, deal coaching, etc.), we engage on a project basis with fixed scope and timeline.

Client Responsibilities

To ensure successful engagements, clients agree to:

• Provide accurate and complete information about your company, technology, and strategic objectives
• Respond to requests for information and feedback within agreed-upon timelines
• Designate a primary point of contact for the engagement
• Execute any required government contracts, compliance requirements, or procurement processes independently (we advise on strategy, but do not act as legal counsel or execute contracts on your behalf)
• Maintain confidentiality of proprietary methodologies, templates, and strategic frameworks shared during the engagement

Confidentiality

Mutual Confidentiality: Both parties agree to maintain confidentiality of proprietary information shared during the engagement. For retainer clients, this is formalized in a mutual Non-Disclosure Agreement (NDA).

No Conflicts of Interest: Bridgehead Advisory does not simultaneously advise direct competitors targeting the same federal opportunity. We disclose any potential conflicts before engagement.

Limitation of Liability

Bridgehead Advisory provides strategic advisory services based on experience and industry knowledge. However:

• No Guarantee of Outcomes: We do not guarantee contract awards, federal sales, or specific revenue results. Government procurement is competitive and influenced by factors outside our control.
• Advisory Capacity Only: We provide strategic guidance but are not legal counsel, lobbyists, or registered government contractors. Clients are responsible for their own legal compliance, contract execution, and regulatory adherence.
• Liability Cap: Our total liability under any engagement is limited to the fees paid for that specific engagement period.

Intellectual Property

Client Materials: You retain all rights to your company's intellectual property, technology, and proprietary information.

Advisory Frameworks: Bridgehead Advisory retains rights to our proprietary methodologies, frameworks, templates, and strategic processes. Clients receive a license to use deliverables created during the engagement for their internal business purposes.

Anonymized Case Studies: We may reference anonymized client success stories in marketing materials (e.g., "$10M ARR in 12 months") without disclosing client names unless explicitly authorized.

Payment Terms

• Retainers: Monthly retainers are billed in advance on the 1st of each month
• Project Work: 50% due upon engagement start, 50% upon completion
• Late Payments: Late payments may result in suspension of services until accounts are current
• Cancellation: Retainer agreements require 30 days written notice for cancellation. Unused portions of prepaid retainers are non-refundable.

Termination

Either party may terminate an engagement with 30 days written notice. Upon termination:

• Client pays for all work completed through the termination date
• Bridgehead Advisory delivers all work-in-progress and final deliverables
• Confidentiality obligations survive termination indefinitely

Governing Law

These terms are governed by the laws of the State of California. Any disputes will be resolved through binding arbitration in Los Angeles County, California.

Changes to Terms

We may update these Terms of Service from time to time. Active clients will be notified of material changes. Continued use of our services after changes constitutes acceptance of the updated terms.
